These Terms explain the rules for browsing Smart BIAI’s official website, using public content, and submitting business inquiries. Product-platform transactions and services follow separate agreements.

Operator and scope
This website is operated by the entity registered in Chinese as 广州新彼岸科技有限公司. These Terms govern browsing the official website, using its public content, and submitting business inquiries. They do not govern account registration, credit purchases, paid product features, product-platform data processing, or delivery through the separate Smart BIAI product platform. The Privacy Policy governs personal-information processing.
Acceptance and preserved rights
Continuing to browse the website means you accept these Terms. A business or product inquiry requires an active confirmation that you have read the Privacy Policy and agree to these Terms. Exercising privacy rights is not conditional on accepting commercial terms: even if you do not agree, you may access the Privacy Policy and use the privacy request form or email to exercise applicable rights.
Eligibility and authority
The website is primarily for enterprises and business users with legal capacity. A submitter must be authorized to provide the relevant organization information and begin a preliminary discussion on its behalf. A person under 18 may not submit a procurement, partnership, or service request for an enterprise unless appropriately authorized by a guardian and the enterprise. Browsing or making an inquiry does not itself create an agency, partnership, employment, distribution, exclusivity, or customer relationship.
Website information and document priority
Product descriptions, demonstration data, capability status, pricing, and delivery information help users understand the services; standing alone, they are not an order or a performance guarantee. Before making a procurement, integration, or compliance decision, verify the current product information and written materials. If documents conflict, the following order applies: signed contracts or addenda; confirmed orders and procurement descriptions; product-specific agreements and billing rules; these Terms; and general website content. Page updates do not retroactively change an established order.
Separate product platform and transactions
The current website does not create product accounts, collect payment, or form product orders. If a “Buy now” or “Start using” link opens the separate product platform, order formation, credited balance, refunds, invoices, and service validity are governed by the platform page, agreement, billing rules, and order status applicable at purchase. These Terms do not duplicate credit deduction, expiry, refund, cloud-storage renewal, or order-dispute rules.
Prices, demonstrations, and capability boundaries
Displayed credit and BIAI Cloud Storage prices are current tax-inclusive references. Future package, promotion, or price changes apply only to new orders not yet formed. Interface screenshots, sample accounts, demonstration data, and scenarios show how a workflow may operate; unless expressly identified as a confirmed fact, they are not real customer data, real-time results, or a promise of future outcomes. Describing API capability does not grant anonymous API access; permissions, quotas, security requirements, and availability require separate documentation or credentials.
Acceptable use and automated access
Search engines and generative-AI crawlers may access public pages when they follow robots.txt, reasonable rates, and public-access boundaries. You must not bypass access controls, scrape admin or non-public content, abuse APIs, automate form submissions, introduce malicious code, exploit vulnerabilities, disrupt the service, or act unlawfully. The website may rate-limit, block requests, pause form submission, and preserve necessary evidence for high-risk activity, but this does not automatically authorize action against product-platform accounts or credits.
Intellectual property and fair reference
Website text, page design, images, logos, software descriptions, and other content are protected by rights held by the operator or relevant rights holders. Visitors may browse, quote short excerpts for genuine business evaluation, and share website links. Without written permission, they may not bulk-copy the site, operate a mirror, remove rights notices, or use content in misleading commercial promotion. “Smart BIAI” is used here as a brand name and does not assert an unconfirmed registered-trademark status.
Submitted content and confidentiality boundary
Users or original rights holders retain rights in submitted content and grant Smart BIAI only the limited permission needed to respond, evaluate a solution, communicate before contract, protect security, and meet legal obligations. Submission does not grant public-distribution, third-party independent-marketing, or public-model-training rights. Ordinary forms are not a confidential-material channel. Do not submit trade secrets, unpublished source code, credentials, API keys, payment-card information, malicious code, unnecessary sensitive information about others, or infringing material. Additional confidentiality duties require a separately signed NDA or contract.
Necessary responses and marketing choices
Submitting a business form permits use of the supplied contact details only to respond to that request. It is not automatic consent to marketing email, advertising messages, or continuing sales outreach. Optional analytics, acceptance of these Terms, and any future marketing subscription remain separate choices and must not be bundled.
External links and third-party services
The Smart BIAI-owned product platform applies its own product agreements and privacy rules. Social networks, payment pages, and other independent third-party services may apply their own terms. We take reasonable care with website links but do not unconditionally guarantee independent third-party content, continuous availability, or autonomous processing practices.
Operation, changes, and events beyond control
The website may adjust or suspend pages or limit anomalous access for maintenance, security, legal requirements, or content updates, with reasonable notice of material changes where practicable. Responsibility for interruption caused by natural disasters, government action, network-carrier failure, cloud-service incidents, or other events beyond reasonable control is determined by law. We will take reasonable recovery measures but do not promise uninterrupted, error-free, or continuously current content, and ordinary maintenance or avoidable failures are not automatically treated as force majeure.
Disclaimers and liability boundaries
To the extent permitted by law, we are not responsible for indirect loss caused solely by reliance on general website descriptions. Nothing excludes liability for wilful misconduct, gross negligence, infringement of personal rights, or liability that law does not permit parties to exclude. A user is responsible under applicable law for actual loss caused by unlawful submissions, impersonation, third-party-rights infringement, or malicious attacks. These Terms do not impose unlimited indemnity, automatic penalties, or punishment unrelated to actual loss, and do not waive non-excludable mandatory rights.
Complaints, security reports, and electronic records
A copyright, trademark, or other rights complaint should identify the complainant, basis of rights, exact page, disputed material, and contact details. Content is not removed automatically before review, except for urgent illegality or an evident security risk. Report a security issue responsibly to biz@biaibiai.com; do not publish sensitive detail, access or download another person’s data, or continue attacking the site. Page versions, submission time, confirmation status, reference number, and minimal system logs may be used as electronic records where lawful, subject to human review and correction of errors.
Versions and notices
These Terms are versioned. Material changes will be highlighted on the website, and continued browsing after a change is governed by the new version. A submitted form retains the Terms and Privacy Policy versions confirmed at submission and is not retroactively overwritten. Only the current version is publicly displayed; controlled historical versions remain available for verification. Business inquiries, rights complaints, and security reports are handled within a reasonable period but do not carry a fixed service-level promise; privacy requests follow the Privacy Policy’s timeframes.
Governing law and disputes
These Terms are governed by the laws of mainland China. The parties should first attempt good-faith discussion. If a dispute is not resolved, it may be submitted to a court with jurisdiction where the website operator is located. This does not exclude mandatory rights that applicable law does not permit a contract to waive.
Language, severability, and contact
The Chinese and English versions are reviewed separately and published together. If an irreconcilable interpretation difference remains, the Chinese version prevails. If one provision is invalid or unenforceable, the remaining provisions continue; a delay in exercising a right is not a permanent waiver.
